In the event of any conflict between the Agreement and this Addendum, the terms and conditions of this Addendum shall control. Except to the extent expressly superseded or modified in this Addendum, the terms and conditions of the Agreement will remain in full force and effect.<\/p>\n<p>  \u200d<\/p>\n<p>Unless otherwise provided herein, a capitalized term that is not defined in this Addendum shall have the meaning given to it in the Agreement, and the words and expressions in, and the rules of interpretation of, the Agreement shall have the same meaning in this Addendum.<\/p>\n<h2>1. DEFINITIONS.<\/h2>\n<p>  \u200d<\/p>\n<p>1.1 \u201cCASL\u201d means Canada\u2019s Anti-Spam Legislation (Statutes of Canada 2010, c 23) and its associated regulations.<\/p>\n<p>1.2 \u201cPersonal Information\u201d means information about an identifiable individual that is transferred to or otherwise shared by Charity with CanadaHelps or generated by CanadaHelps in connection with the CanadaHelps for Charities Subscription Services provided to the Charity (the \u201cServices\u201d).<\/p>\n<p>1.3 \u201cPrivacy Breach\u201d means a breach of security leading to the accidental or unlawful destruction, loss, alteration, theft, or unauthorized access to, use or disclosure of Personal Information.<\/p>\n<p>1.4 \u201cPrivacy Laws\u201d means federal and provincial privacy laws and CASL applicable to a party.<\/p>\n<p>1.5 \u201cProcess\u201d means collection, use, modification, retrieval, disclosure, retention, storage, deletion, and\/or management.<\/p>\n<h2>2. DATA PROCESSING AND SECURITY RESPONSIBILITIES.<\/h2>\n<p>2.1 Charity and CanadaHelps shall each comply with all Privacy Laws in relation to any Personal Information Processed under the Agreement (including this Addendum).<\/p>\n<p>  \u200d<\/p>\n<p>2.2 Charity represents and warrants that it has obtained and provided, and shall continue to obtain and provide, all necessary consents and notices, and otherwise has and continues to have all necessary authority, to permit CanadaHelps to perform its obligations and exercise its rights in connection with the Processing of Personal Information under the Agreement (including this Addendum), including with respect to the sending of any electronic communications to End Users and the use of any Third Party Products, and shall inform CanadaHelps immediately if any such consents or authority are withdrawn or can no longer be relied upon.<\/p>\n<p>  \u200d<\/p>\n<p>2.3 In the course of Processing Personal Information on behalf of Charity, CanadaHelps shall:<\/p>\n<p>(a) except as otherwise permitted herein, only Process Personal Information as reasonably necessary for the purposes of rendering the Services, fulfilling its obligations under this Addendum and as otherwise instructed by Charity in writing from time to time or as required or permitted by applicable law;<\/p>\n<p>  \u200d<\/p>\n<p>(b) not transfer or disclose any Personal Information to any third party except as (i) permitted under the Agreement or this Addendum, (ii) otherwise authorized by the Charity in writing, or (iii) required under applicable law (in which case Clause (c) below shall apply);<\/p>\n<p>(c) where any transfer or disclosure of Personal Information is required by a governmental authority or applicable law, provide reasonable notice to Charity of such compelled disclosure (except where legally prohibited from providing such notice) so that Charity has an opportunity to take such steps as it desires to challenge or contest such disclosure or seek a protective order;<\/p>\n<p>(d) except to the extent legally prohibited, promptly notify Charity in writing of any enquiry or complaint received from an individual relating to the individual\u2019s rights under Privacy Laws, and, taking into account the nature of CanadaHelps\u2019 Processing of Personal Information, provide reasonable assistance to enable Charity to respond to such enquiry or complaint;<\/p>\n<p>  \u200d<\/p>\n<p>(e) implement reasonable physical, technical and organizational security measures appropriate to the sensitivity of the Personal Information that are designed to protect Personal Information against loss, theft, damage and unauthorized or unlawful access, use, disclosure or destruction;<\/p>\n<p>  \u200d<\/p>\n<p>(f) authorize access to Personal Information only by those employees and agents of CanadaHelps who need to have access to the Personal Information to provide the Services;<\/p>\n<p>  \u200d<\/p>\n<p>(g) ensure or cause each employee of CanadaHelps involved in rendering the Services to agree to protect the confidentiality and security of the Personal Information and otherwise appropriately train each of its employees in Privacy Law compliance as applicable to CanadaHelps\u2019 Processing of Personal Information;<\/p>\n<p>  \u200d<\/p>\n<p>(h) upon Charity\u2019s written request, once per annum during Term of the Agreement, CanadaHelps shall provide Charity (or its representatives) with access to information and written responses to all questions reasonably necessary to demonstrate CanadaHelps\u2019 compliance with this DPA. All information disclosed to Charity pursuant to this Section 2.3(h) is CanadaHelps Confidential Information.<\/p>\n<h2>3. CASL<\/h2>\n<p>3.1 To the extent Charity or its Permitted Users sends electronic charitable donation receipts or other electronic communications, including commercial electronic messages (\u201cCEMs\u201d) as such term is defined under CASL, or causes or permits the sending of CEMs, Charity represents, warrants and agrees that it will, and will cause all Permitted Users to:<\/p>\n<p>(a) fully comply with all applicable consent, notice, form, content, unsubscribe and other requirements under CASL;<\/p>\n<p>  \u200d<\/p>\n<p>(b) send CEMs or other electronic communications only to individuals from whom Charity has obtained all necessary consent in accordance with Privacy Laws;<\/p>\n<p>  \u200d<\/p>\n<p>(c) give effect to the unsubscribe mechanism within the time period required by CASL;<\/p>\n<p>  \u200d<\/p>\n<p>(d) ensure that email or other electronic addresses are not harvested through automated means;<\/p>\n<p>  \u200d<\/p>\n<p>(e) ensure that transmission data in a CEM is not altered so that the message is delivered to a destination other than or in addition to that specified by the sender; and<\/p>\n<p>3.2 ensure that the sender information, subject matter information or locator of an electronic message, or content within an electronic message, sent (or caused or permitted to be sent) by Charity is not false or misleading in any respect.Charity shall maintain policies and procedures to ensure compliance with CASL and Privacy Laws, and shall retain appropriate records to demonstrate compliance with CASL and Privacy Laws, including evidence of express consent and records of unsubscribe requests and actions.<\/p>\n<p>  \u200d<\/p>\n<p>3.3 Charity, and not CanadaHelps, shall be the sender of any such electronic communications. Charity\u2019s responsibilities as set forth in this Section and this DPA will remain the sole responsibility and liability of Charity notwithstanding that CanadaHelps may offer templates, advice, guidance or suggestions relating to any of the matters that are Charity\u2019s responsibility and notwithstanding that CanadaHelps may be engaged to provide services related to such responsibilities of Charity.<\/p>\n<h2>4. SUB-PROCESSING AND DATA LOCATION.<\/h2>\n<p>  \u200d<\/p>\n<p>4.1 Charity acknowledges and agrees that CanadaHelps shall use sub-processors (including CanadaHelps affiliates) to provide the Services. CanadaHelps shall enter into a written contract with each such sub-processor that imposes obligations on the sub-processor that are substantially similar to those imposed on CanadaHelps under this Addendum. CanadaHelps shall only retain sub-processors that CanadaHelps can reasonably expect to appropriately protect the privacy, confidentiality and security of the Personal Information. CanadaHelps and its Subprocessors shall only Process Personal Information in Canada and the United States.<\/p>\n<p>  \u200d<\/p>\n<h2>5. PRIVACY BREACH NOTIFICATION.<\/h2>\n<p>  \u200d<\/p>\n<p>5.1 CanadaHelps shall notify Charity\u2019s Privacy Officer (or equivalent person responsible for the Charity\u2019s compliance with privacy laws) at the contact information provided by the Charity at the time of application in writing without undue delay upon CanadaHelps becoming aware of a Privacy Breach. CanadaHelps shall take any reasonably necessary measures and actions to remedy or mitigate the effects of the Privacy Breach to the extent within CanadaHelps\u2019 control and shall keep Charity informed of material developments in connection with the Privacy Breach.<\/p>\n<h2>6. TERMINATION AND RETURN OF DATA.<\/h2>\n<p>  \u200d<\/p>\n<p>6.1 This Addendum shall come into force on the Effective Date and shall remain in force until the termination or expiry of the Agreement.<\/p>\n<p>  \u200d<\/p>\n<p>6.2 CanadaHelps shall retain charitable donation receipts on behalf of Charity for 7 years unless otherwise directed in writing by the Charity, and thereafter destroy, erase or anonymize such information. Upon the expiration or earlier termination of the Agreement, CanadaHelps shall either anonymize or securely dispose of (or, at Charity\u2019s written request and with respect to charitable donation receipts that CanadaHelps retains on behalf of the Charity, return) the Personal Information and all existing copies, subject to Charity\u2019s requirements to retain certain Personal Information in order to comply with its legal or regulatory obligations or as otherwise necessary in the context of any disputes or litigation. In the event of any Personal Information to be returned to the Charity, Charity shall be responsible for securely downloading or exporting such Personal Information from the Services. In such event, Charity warrants that it shall ensure the confidentiality of any retained Personal Information in accordance with applicable law.<\/p>\n<p>  \u200d<\/p>\n<h2>7. UPDATES TO THIS ADDENDUM.<\/h2>\n<p>  \u200d<\/p>\n<p>7.1 In the event of material changes to applicable Privacy Laws, the Parties agree to revisit the terms of this Addendum, and negotiate any appropriate or necessary updates in good faith, including the addition, amendment, or replacement of any provision.<\/p>\n<p>  \u200d<\/p>\n<h2>8.
